Terms & Conditions

Last updated: 30 September 2026

These Terms & Conditions govern the provision of services by Canny Commerce Ltd trading as SimpleOps Portal (“SimpleOps”, “we”, “us” or “our”).

By accepting a quotation, proposal or agreement from us, or instructing us to begin work, you agree to these Terms & Conditions.

1. Our Services

SimpleOps designs, builds and manages digital portals and workflow systems for businesses and organisations.

Services may include:

  • Digital forms and workflows
  • Staff, customer or partner portals
  • Timesheets and operational reporting
  • Document and compliance management
  • Automated documents and PDFs
  • Dashboards and administration tools
  • Integrations with third-party services
  • Ongoing portal management and support

The exact services included in each project will be set out in the relevant quotation, proposal, specification or agreement.

2. Quotations and Project Scope

All quotations are based on the information provided to us at the time of quotation.

The agreed project scope will normally be detailed within a quotation, proposal or project specification.

Any work requested outside the agreed scope may be treated as additional work and may be subject to an additional charge.

We will discuss any significant additional costs with the client before carrying out the work.

3. Client Responsibilities

The client is responsible for providing any information, content, documentation, branding, access credentials and other materials reasonably required to complete the project.

The client is responsible for ensuring that information supplied to us is accurate, lawful and suitable for use.

Delays in receiving required information, approvals or feedback may affect project timescales.

4. Fees and Payment

Project fees and payment schedules will be set out in the relevant quotation or proposal.

Projects may include:

  • An initial setup or development fee
  • Staged project payments
  • Monthly management or support fees
  • Charges for additional development or functionality

Invoices are payable within the payment period stated on the invoice.

We reserve the right to pause development, support or access to services where invoices remain significantly overdue.

5. Monthly Services

Where a client subscribes to ongoing SimpleOps management, hosting or support, the monthly service will continue until cancelled in accordance with the agreed terms.

Monthly services may include system maintenance, reasonable support, platform administration and minor amendments, depending on the package agreed.

Major new functionality, additional modules or substantial changes may be quoted separately.

6. Third-Party Platforms

SimpleOps may use third-party software and services when delivering portals.

These may include platforms used for:

  • Portal hosting
  • Databases
  • Document generation
  • Email
  • Automation
  • File storage
  • Analytics
  • Integrations

The availability and functionality of these services are subject to their own terms, pricing and technical limitations.

We are not responsible for outages, changes, restrictions or discontinued functionality caused by third-party providers, although we will make reasonable efforts to assist clients where such issues affect their portal.

Third-party subscription costs may be included within the agreed service fee or may be payable separately by the client, depending on the project.

7. Portal Availability

We aim to provide reliable access to SimpleOps portals but cannot guarantee uninterrupted or error-free availability.

Temporary disruption may occur because of maintenance, platform updates, hosting issues, internet outages or circumstances outside our control.

Where possible, we will work to resolve issues affecting systems that we manage within a reasonable timeframe.

8. Data and Privacy

Clients remain responsible for determining what personal information they collect through their portal and ensuring they have an appropriate lawful basis for doing so.

Where SimpleOps processes personal information on behalf of a client, we may act as a data processor and the client may act as the data controller.

Both parties agree to comply with applicable UK data protection legislation.

Further information about how Canny Commerce Ltd handles personal information is available in our Privacy Policy.

Where appropriate, additional data processing terms may form part of the client agreement.

9. Security

We take reasonable measures to protect systems and information used in providing our services.

Clients are responsible for maintaining the confidentiality of their usernames, passwords and account credentials.

Clients should notify us promptly if they believe an account or portal has been accessed without authorisation.

No internet-based system can be guaranteed to be completely secure.

10. Intellectual Property

Unless otherwise agreed, the client retains ownership of content, documents, branding and data that they provide to us.

SimpleOps retains ownership of its own systems, processes, templates, design methods, reusable components and other intellectual property developed independently of a particular client.

On payment of all agreed project fees, the client receives the right to use the portal and project-specific materials supplied to them for their business operations.

Where a portal relies upon third-party software, ownership of that underlying software remains with the relevant provider.

11. Client Data

Data entered into a client’s portal remains the responsibility of the client.

Clients should ensure that information entered into their system is accurate and that appropriate internal procedures are followed.

Where reasonably possible, we will assist clients with exporting their data should the service end.

12. Confidentiality

Both parties agree to treat confidential business information received from the other party as confidential and not disclose it unnecessarily to third parties.

This obligation does not apply to information that is already publicly available, independently obtained, or required to be disclosed by law.

13. Support and Amendments

Support arrangements will depend on the service package agreed with the client.

Routine support and minor changes may be included within a monthly service.

Requests involving substantial redesign, new workflows, new integrations or additional functionality may be treated as new development work and quoted separately.

14. Project Completion and Approval

Clients will normally be given the opportunity to review and test their portal before final launch or handover.

Clients are responsible for checking that the agreed functionality operates appropriately for their requirements.

Where a client approves a system for launch or begins using it operationally, the project will generally be considered accepted, subject to correcting genuine faults within the agreed scope.

15. Cancellation and Termination

Either party may end an ongoing service by providing the notice specified in the relevant agreement or proposal.

Where no separate notice period has been agreed, we ask clients to provide at least 30 days’ written notice for cancellation of ongoing monthly services.

Any fees already due remain payable.

Project deposits, development fees and payments relating to work already completed may be non-refundable.

We may suspend or terminate services where:

  • Payments remain overdue
  • The service is being used unlawfully
  • The client seriously breaches these terms
  • Continued provision of the service is no longer reasonably possible

16. Limitation of Liability

SimpleOps will take reasonable care in providing its services.

However, we will not be responsible for indirect losses, loss of profits, loss of business opportunities or losses resulting from circumstances outside our reasonable control.

We are not responsible for losses caused by incorrect information entered by users, misuse of a portal, failure to follow appropriate business procedures, or failures of third-party services.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

17. Backups and Business Continuity

Where available, we may use backup and recovery features provided by the platforms used to deliver a client’s portal.

Clients should not assume that SimpleOps is their sole backup or archive system unless a specific backup service has been agreed.

Where information is particularly important, clients should maintain appropriate copies or exports as part of their own business continuity arrangements.

18. Acceptable Use

Clients must not use a SimpleOps portal:

  • For unlawful purposes
  • To store or distribute unlawful content
  • To attempt unauthorised access to systems
  • To interfere with the operation or security of the service
  • In a way that infringes the rights of another person or organisation

We may suspend access where we reasonably believe a portal is being misused.

19. Changes to Services

Technology platforms change over time.

We may occasionally need to modify how a portal operates because of updates, security requirements, changes to third-party services or technical improvements.

Where a material change affects an important part of a client’s service, we will make reasonable efforts to notify the client and discuss available options.

20. Portfolio and Case Studies

Unless the client asks us not to, we may identify the client as a customer and display publicly available branding, screenshots or descriptions of completed work within our portfolio, website, case studies or marketing materials.

We will not intentionally disclose confidential information when doing so.

Clients may ask us at any time not to use their project for promotional purposes.

21. Website Information

Information published on the SimpleOps website is provided for general information only.

Examples, demonstrations and case studies are intended to illustrate the types of systems we can build and do not guarantee that every feature will be suitable or available for every client.

Each portal is scoped according to the client’s individual requirements.

22. Changes to These Terms

We may update these Terms & Conditions from time to time.

The current version will be published on the SimpleOps website.

Changes will not normally alter the terms of an existing fixed-price project unless agreed with the client.

23. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes will be subject to the jurisdiction of the courts of England and Wales.
